journeynow OÜ · Registry code 17188019 · VAT EE102838400 Tornimäe tn 5, Kesklinna linnaosa, Tallinn, Harju maakond 10145, Estonia

Version 1.0 · Effective 1 August 2026

1. What this is

1.1 These Terms are between journeynow OÜ ("Journey.now", "we") and you, the person or business publishing a course through the Journey.now Creator Console ("Creator", "you").

1.2 Journey.now is a platform, not a publisher. You use our tools to build a course ("Journey") from your own material and sell it to subscribers ("Members"). You are the seller. Your contract for the course is with your Members. We provide the software, host the Journey, and collect payments on your behalf as your agent, keeping a commission. We do not own, publish, or endorse your Journey, and we do not review what it says — see Section 10.1 for the limited checks we do make.

1.3 Business use only. You accept these Terms in the course of a trade, business, or profession, not as a consumer.

1.4 Accepting. Creating an account, importing content, or publishing a Journey means you accept these Terms.

2. Your account

2.1 Give us accurate information and keep it current.

2.2 You are responsible for anyone you give access to your account, as if their acts were your own.

2.3 To receive money you must give us the payment, identity, and tax details we or our payment provider reasonably need, and complete any onboarding or verification they require (see Section 8).

3. Your content stays yours

3.1 Your material. The posts, videos, documents, and other content you import ("Source Material") remain entirely yours. Nothing here transfers them.

3.2 Your Journey. As between us, you own the teaching content of your Journey, including material the Engine generated and you approved, whatever it was drawn from. Some machine-generated material may not attract copyright anywhere; to the extent rights exist, they are yours under this Section, and where they do not, your position rests on this contract.

3.3 Licence to us. You grant Journey.now a worldwide, non-exclusive, royalty-free licence to host, store, copy, format, transmit, and display your Journey and Source Material so we can run the platform, deliver the Journey to your Members, and promote the Journey and Journey.now. This licence ends when the Journey is removed, except that we may keep archival and backup copies, continue delivering to Members entitled to access under Section 6.3, and keep using promotional material already produced.

3.4 Improving the Engine. You also grant us a perpetual licence to use Source Material, Journeys, and usage data to develop, test, and improve the Engine and our services. We will not use this to reproduce your protected expression inside another Creator's Journey. Aggregated and de-identified results are ours.

3.5 Your name. You allow us to use your name, likeness, and marks to identify you as the author of your Journey and to promote the Journey and Journey.now, and you agree not to assert moral rights against acts within the licences in this Section.

3.6 Feedback. Suggestions you send us about the platform are not confidential and we may use them freely.

4. Our methodology stays ours

4.1 The Journey.now learning methodology — the pedagogical structure, chapter and progression logic, prompts, templates, taxonomies, models, and the Engine itself ("Methodology") — is ours. It is confidential and protected as trade secret and know-how. Owning your Journey gives you no rights in it.

4.2 While these Terms are in force you may use the Methodology only inside Journey.now, to build and run your Journeys.

4.3 You will not copy, export, scrape, reverse-engineer, or reproduce the Methodology, the structured form of the Engine's output, or the Console, and will not use any of it to build, train, or run a competing product or service.

4.4 Non-public information you learn about the Engine, the Methodology, the Console, and our plans and metrics is confidential, and stays confidential after these Terms end.

5. You review before you publish

5.1 The Engine assembles drafts. It does not publish. A Journey reaches a Member only because you read it, corrected it, and signed off.

5.2 The Console marks everything the Engine added. Before publishing you will review every chapter, brief, and material and edit, replace, or delete anything inaccurate, misleading, off-voice, or not fit to teach. Publishing confirms you have done so, and we keep a record of your sign-off.

5.3 The Engine's output can be wrong. It may contain factual errors or outdated information; be incomplete, generic, or repetitive; closely resemble output produced for other users; reproduce material from its training data or from sources it consulted, including material protected by copyright; misread slang, idiom, tone, or cultural reference; reflect biases in the data behind it; and lack the judgement and voice of material written by a person. It is not suitable for medical, legal, financial, safety-critical, or other regulated advice. Use your own professional judgement before publishing any of it.

5.4 You are the author of record. Your name is shown to Members as the author, and the published Journey is your professional work.

5.5 We may refuse to publish, or take down, a Journey that appears to have been shipped without meaningful review. Publishing unreviewed Engine output is a material breach of these Terms.

5.6 We will tell Members that Journeys are produced with the help of an AI system. You will not remove or obscure that disclosure, and will not misrepresent where your material came from.

5.7 Inspirations. The Console may offer "Inspirations": background reading the Engine generates about topics related to your Journey, as text with links to material elsewhere online. Inspirations are Engine output like any other draft in the Console. They are marked as such, nothing is added to your Journey unless you choose to include it, and you may edit or remove any of them at any time. An Inspiration you approve is part of your Journey and yours under Section 3.2. Section 5.2 applies to it as to everything else: if you publish an Inspiration, you have reviewed it, and you are responsible for it.

5.8 What we do and don't promise about Inspirations. Inspirations are produced by an AI system and carry the limitations in Section 5.3. We do not warrant that they are accurate, current, or complete, and we do not check whether their text or links are free of third-party rights. Links in an Inspiration point to sites we neither control nor endorse, and we are not responsible for their content, safety, or availability. Your promises in Section 9 and your indemnity in Section 12 apply in full to any Inspiration you publish, whether or not you edited it.

6. Selling through Journey.now

6.1 Exclusive to Journey.now. While a Journey is published, and for twelve (12) months afterwards, you will not sell, license, or offer through any other platform, service, or channel: (a) that Journey; or (b) a course that reproduces its chapter sequence, progression logic, or structural scaffolding in substantially the same form. This includes competing course and learning platforms.

6.2 What stays yours to use anywhere. Your Source Material, your subject matter, your expertise, and your audience. You remain free to post, teach, publish, and sell your underlying knowledge and original content wherever you like, in any other form. Section

6.1 restricts the packaged Journey and the Methodology inside it — not your career.

6.3 Taking it down. You can unpublish or archive a Journey at any time. Unpublishing closes it to new Members — nobody new can join. Members who are already subscribed keep full access for as long as they keep paying, and your share of those payments continues as usual.

If we need to stop delivering a Journey altogether — whether you have unpublished it, this agreement has ended, or we are discontinuing the service — we will give you and the affected Members at least six (6) months' notice. Anyone who has paid for a period running past that date keeps access to the end of it, or is refunded for the unused part; where a refund arises because you unpublished, it is deducted under Section 8.2 or set off under Section 8.5.

6.4 No diverting Members. While a Journey is published and for twelve (12) months afterwards, you will not use the Journey or contact obtained through the platform to send Members to buy substantially the same course from you elsewhere. Ordinary promotion of your other work is fine.

7. Subscriptions

7.1 Journeys are sold to Members by subscription. Journey.now sets and operates the subscription framework — which plan types exist (monthly, quarterly, annual, or others), trial mechanics, billing, renewal, cancellation, and currencies — and may change that framework at any time on thirty (30) days' notice. Changes apply going forward only, never to money already earned.

7.2 Prices are set in the Creator Console. We may publish default prices or price bands for each plan type.

7.3 The Console is in beta. Features may change, be added, or be withdrawn.

8. Money

8.1 Commission. Journey.now keeps a commission of 50% of Net Revenue; the remaining 50% is yours. We may reduce our commission at any time. We will not increase it without thirty (30) days' notice, and you may terminate before an increase takes effect.

8.2 Net Revenue means what is actually received from Members for your Journey, after deducting VAT and other sales taxes, payment processing fees, refunds, chargebacks, and amounts never collected. Tax comes out of the gross amount before the split — it was never revenue for either of us — so the 50/50 in Section 8.1 is applied to what is left.

8.3 How money flows. You appoint Journey.now as your commercial agent, authorised to offer and conclude the sale of your Journey to Members on your behalf and to receive payment for it. A Member who pays us has paid you: their obligation to you is discharged at that moment, and we hold your share for you until we pay it out.

We collect through our payment provider (currently Stripe), deduct our commission and any fees, and pay you the balance under Section 8.4. During early testing, collection runs through an account in Journey.now's name; we may later move it to accounts in your name, and will tell you before we do. We may change the payment provider on one (1) month notice. Your relationship with any provider is governed by its own terms, and we are not responsible for its decisions or holds.

8.4 Payouts — you are paid monthly, whatever plan the Member is on. Your share is earned month by month for as long as a Member's subscription runs, not at the moment their payment arrives. Where a Member pays for a longer period up front — a yearly plan, for example — your share of that payment accrues in equal monthly parts across the period they have paid for. If a Member cancels but keeps access to the end of the period they already paid for, your share keeps accruing to the end of it. If a payment is refunded or reversed, accrual stops for the unexpired part.

We pay what has accrued monthly, within thirty (30) days after the end of each calendar month, once your balance reaches €50; below that it rolls forward to the next month. Payouts are in EUR or USD, and a statement showing what accrued, what was deducted, and what is due is available in the Console. When this agreement ends, we pay your remaining balance as it accrues, regardless of the threshold.

8.5 Reversals and set-off. Refunds and chargebacks arising after a payout are offset against your next payout. If no further payout is due within twelve (12) months, we may invoice you for the amount, payable within thirty (30) days. We may set off any amount you owe us under these Terms against your balance, on notice.

8.6 Taxes. Where the law requires us to account for VAT or sales tax on the sale to the Member — which is the case while we collect through our own payment account — we register, report, and remit it, and it is deducted from gross under Section 8.2. You remain responsible for your own income taxes, for any registrations that apply to you, and for any VAT on your supply to us of your 50% share. Give us your VAT number if you have one. So that your share can be invoiced correctly, you agree that we may issue invoices to ourselves on your behalf for it (self-billing); we will show you each one, and you will tell us promptly if anything is wrong. If we later move collection to accounts in your name, responsibility for tax on the sale to the Member moves to you and we will tell you before that happens.

8.7 You are an independent business, not our employee, agent, partner, or joint venturer — except that we act as your agent for collecting Member payments as described in Section 8.3.

9. What you promise us

9.1 Third-party content — everything in your Journey must be yours to sell. You will not include any text, image, photograph, video, audio, music, font, artwork, or other material owned by someone else unless you hold a licence that covers selling it as part of a paid course. If you are not certain you hold that right, do not publish it — replace it or take it out.

This applies to everything hosted inside a Journey — documents and PDFs you upload, images, cover art, slides, audio, and video files. It catches people out most often here:

  • Documents and PDFs containing extracts, diagrams, exercises, or images taken from books, articles, or other people's courses.
  • Stock photos and video, which frequently carry editorial-only or personal-use licences that exclude commercial or resale use.
  • Cover images and artwork you did not create yourself.
  • Work you commissioned — a photographer, designer, or editor keeps the copyright unless your contract transferred it to you in writing.

Links to your own posts are different. Where a Journey links out to a post on your own Instagram, TikTok, or YouTube account, your Member watches it on that platform, under that platform's own licence. You do not need separate clearance for music or effects in a post you are only linking to. You do need to keep the post published and publicly reachable — if you delete it or make it private the link stops working, and that is your responsibility, not ours.

Engine output counts as yours. The Engine drafts from your Source Material and from other sources, and its drafts may reproduce text, images, or structure belonging to someone else. Once you publish a draft, you have included it, and this Section applies to it exactly as it applies to a file you uploaded.

9.2 If someone complains. Anyone can report material on Journey.now they believe is illegal or infringes their rights, through the reporting channel published on our website or by email to ciao@journey.now. When we receive a report about your Journey, we will:

(a) tell you promptly what was reported and why, and pass on the report, withholding the reporter's identity where the law requires it;

(b) give you the chance to respond, normally within five (5) business days, by removing or changing the material, showing that you hold the rights, or explaining why the report is wrong;

(c) decide on the report and your response whether to remove or restrict the material, and tell you and the reporter the outcome and our reasons.

Where a report is precise enough that the problem is clear without a detailed legal review, or where waiting would cause serious harm, we may remove or restrict the material first and hear from you afterwards. Section 13.2 applies to any measure we take: it stays no wider or longer than the circumstances justify, and we lift it once the matter is resolved. If we later find the report was unfounded, we reinstate the material.

You will give us the information we reasonably need to handle a report, promptly, and you will not republish material we removed unless we agree the report was unfounded. Repeated well-founded reports are grounds for suspension or termination under Section 13.2. We disregard reports made in bad faith and may block a reporter who repeatedly sends them.

We handle reports as required by the Digital Services Act (Regulation (EU) 2022/2065). Nothing in this Section makes us a reviewer or guarantor of your Journey; Section 10.1 stands.

9.3 You also confirm that:

  • your Journey infringes nobody's copyright, trademark, privacy, or publicity rights;
  • your Journey is not unlawful, defamatory, or deceptive, and does not break an obligation you owe someone else (an employer, publisher, school, or another platform);
  • any claim you make about results, outcomes, or credentials is accurate and can be substantiated;
  • you will meet the consumer law obligations that apply to your sale to Members, including required pre-contract information and withdrawal or refund rights;
  • you will not publish content that is illegal, hateful, harassing, sexually explicit, aimed at children, or that offers regulated medical, legal, financial, or professional advice you are not qualified to give;
  • you are not subject to sanctions and will not use the platform in breach of sanctions or export-control law; and
  • you will moderate any Group space (Pod) or discussion you host inside your Journey and remove content there that would breach this Section if you had published it yourself.

10. What we do and don't do

10.1 We supply software and hosting. We do not write, own, review, verify, fact-check, or endorse your Journey. Any check we make is limited to whether the publishing process in Section 5 was followed and whether a Journey obviously breaches Section 9 — it is never a review of accuracy or quality.

10.2 We are not a party to your contract with your Members and give no warranty about your Journey to anyone.

10.3 The platform is provided as is. We do not guarantee any level of sales, enrollments, visibility, or uninterrupted availability, and we do not warrant the Engine's output.

10.4 Neither of us is liable for failures caused by events outside our reasonable control.

11. Liability

11.1 Our liability is unlimited for intent and gross negligence, for injury to life, body or health, for fraud, under any guarantee we expressly give, and wherever liability cannot be limited by law.

11.2 Otherwise, we are liable only for breach of an obligation essential to performing this agreement and on which you may reasonably rely, limited to the typical, foreseeable loss at the time of contracting, and in no event more than the greater of the commission we retained on your Journeys in the preceding twelve (12) months or €100.

11.3 Except under Section 11.1, neither of us is liable to the other for lost profits, lost revenue, lost goodwill, or lost data.

11.4 These limits also protect our officers, employees, contractors, and agents, and apply to claims in tort.

12. Indemnity

12.1 You will cover us against any third-party claim, damage, or reasonable cost (including legal fees) arising from your Source Material or Journey, your breach of these Terms, your dealings with Members, or your tax and consumer-law obligations.

12.2 We will tell you promptly about any such claim, will not settle it without your consent (not unreasonably withheld), and may run our own defence, in which case you will cooperate and remain responsible for reasonable costs.

13. Suspension and ending this agreement

13.1 You may unpublish a Journey or close your account at any time.

13.2 We may restrict, suspend, or remove a Journey or an account where there is a breach of these Terms or applicable law, or a justified risk of one. When we do, we will give you our reasons, keep the measure no wider or longer than the circumstances justify, give you a fair chance to fix the problem where it can be fixed, and lift the measure once it is resolved.

13.3 Either of us may end this agreement on thirty (30) days' written notice. The right to end it immediately for good cause is unaffected.

13.4 After it ends, Section 6.3 still governs Members already subscribed — they keep access while they pay, and you keep your share. Sections 3, 4, 5.3, 5.8, 6.1, 6.4, 8.5–8.7, 9.2, 10, 11, 12, 15, 16, and Annex A survive.

14. Changes to these Terms

We may change these Terms on thirty (30) days' notice by email or in the Console, telling you expressly what happens if you do nothing. If you do not object within thirty (30) days, the change applies. If you object in time, the change does not apply to you — we may then end the agreement on thirty (30) days' notice if we cannot reasonably continue without it, and if we do, the twelve-month restriction in Section 6.1 does not apply to you.

15. Law and disputes

15.1 These Terms are governed by the law of the Republic of Estonia, excluding its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

15.2 The exclusive place of jurisdiction is Harju County Court (Harju Maakohus), Tallinn, Estonia. We may also bring proceedings where you are established, and may seek injunctive relief to protect our intellectual property or confidential information in any competent court.

15.3 Before starting proceedings, each of us will notify the other in writing and try in good faith to resolve the matter for thirty (30) days.

15.4 Claims must be brought within two (2) years of arising, unless mandatory law says otherwise.

16. General

16.1 Assignment. You may not transfer these Terms without our written consent. We may transfer them to an affiliate or in connection with a merger, financing, or sale of the business, on thirty (30) days' notice; you may then terminate within fourteen (14) days.

16.2 Entire agreement. These Terms, Annex A (Personal data), and our Privacy Policy are the whole agreement between us on this subject.

16.3 Severability and waiver. If a provision is invalid, the rest stands. Not enforcing a right once does not waive it.

16.4 Notices. To you: the email on your account, or a notice in the Console. To us: ciao@journey.now.

16.5 Language. These Terms are in English; any translation is for convenience only.

Annex A — Personal data

This Annex forms part of these Terms. Where it conflicts with Sections 1–16 on anything to do with personal data, this Annex wins. "Controller", "processor", "personal data", and "processing" have the meanings given in the GDPR (Regulation (EU) 2016/679).

A1. Who is responsible for what

A1.1 Your data. Journey.now is controller for personal data about you and your team — account and contact details, identity and payout information, support messages, and how you use the Console. Our Privacy Policy explains what we collect and why.

A1.2 Member data, where we are controller. Journey.now is controller for the personal data it needs to run the platform: creating and running Member accounts, checkout and payments, fraud prevention and security, service messages, and our own analytics and marketing. We decide how that happens and we answer to Members for it.

A1.3 Member data, where we are your processor. Where we process Member personal data inside your Journey for your purposes — delivering your chapters, recording progress against your material, running a Group space (Pod) you host, and any message you send Members through the Console — you are the controller and we act as your processor, on your instructions. Section A2 governs that processing.

A1.4 Neither of us is the other's joint controller unless the law says otherwise on the facts. If a supervisory authority or a court decides we are, for anything, we will promptly agree a short arrangement under Article 26 covering it.

A2. When we process Member data for you

For the processing described in A1.3:

  • Subject matter and purpose: delivering your Journey to your Members and letting you run it.
  • Duration: for as long as we continue delivering your Journey to Members under Section 6.3.
  • Nature of processing: hosting, storing, organising, displaying, and deleting.
  • Personal data: name, email address, account identifiers, enrollment and subscription status, progress and activity in your Journey, and anything a Member submits inside it.
  • Data subjects: your Members.

We will: process only on your documented instructions — these Terms and your use of the Console are your instructions — unless the law requires otherwise; keep the data confidential and put anyone we let near it under a duty of confidence; apply appropriate technical and organisational security under Article 32; help you respond to Members exercising their rights, and with your obligations under Articles 32 to 36, so far as is reasonable and given what we know; tell you without undue delay if we become aware of a personal data breach affecting the data; and, when your Journey ends, delete or return the data, except where we must keep it by law or still need it as controller under A1.2.

Sub-processors. You agree that we may use sub-processors — the hosting, payment, email, and AI providers we need to run the service. We remain responsible for what they do with the data, and we will tell you before we add or replace one. If you object on reasonable data protection grounds within thirty (30) days, we will look for a workaround; if there isn't one, either of us may end this agreement.

Where data is processed. We process within the EEA wherever we can. Where personal data goes outside it, we use a transfer mechanism permitted under Chapter V of the GDPR.

Showing our work. On reasonable request — not more than once a year, unless a regulator requires otherwise — we will give you the information you reasonably need to show that we meet this Annex.

A3. What you must do

  • Have a lawful basis for anything you do with Member data beyond delivering your Journey, and your own privacy notice where you need one.
  • Use Member data only to run your Journey. Do not export it, add Members to a mailing list, or market to them outside the platform.
  • Keep it secure and confidential, and give access only to people who need it.
  • Make sure that the Source Material you import has a lawful basis behind any other people's personal data in it — faces, names, voices, messages.
  • Tell us without undue delay if you become aware of a breach affecting Member data.
  • Pass on promptly any request from a Member that concerns data we hold as controller. We will do the same for you.

A4. The Engine

We do not use Member personal data to develop or train the methodology Engine. Where we use usage data for that purpose it is aggregated or de-identified first. The licence in Section 3.4 covers your Source Material and Journeys; where those contain personal data about other people, A3 applies and the lawful basis is yours to hold.

Acceptance

You accept these Terms by ticking the box when you create your Journey.now account, or by publishing a Journey. In doing so you confirm that you are acting in the course of a business and that you accept this version of these Terms.

We record which version you accepted and when.
